Track who opened the CIM - without a data room

For the partner or VP who needs to know who read the teaser or CIM. One link per counterparty, their name stamped on every page (PDFs under 4MB). Every open timed to that recipient; any link withdrawn in one click.

What you see once the links are out

The Documents tab carries four figures: live links, total opens, recipients who opened, never opened. A Who is reading table lists each recipient's documents opened, open count and last look, most active first. Never opened counts live links only, so revoked recipients stay off the follow-up list. Each link shows opens, Copy link and Revoke.

What the watermark carries, and when it is applied

The stamp (name, firm, date) is a faint diagonal on each page plus a readable footer line; a screenshot carries the name. Applied at open, not upload: the original stays unaltered; the date is that open's UTC date. Over 4MB, non-PDF or unparseable: not stamped; the row says Not stamped after the first open.

What counts as an open, and what is not measured

An open is the file streaming to the recipient, timed against their link. A reload within five minutes counts once; an automated scanner counts like a person. Stored: time and user-agent, no IP address. Pages read are not measured. Nor is reading time; the weekly report's basis of preparation says so in writing.

What the counterparty sees

A plain, unbranded page: document name, Confidential label, the file inline, a notice it is for their firm's evaluation of this opportunity, access logged. No login; the unguessable link is the credential. The page is marked not to be indexed. After a revoke, the URL says the document is no longer available; contact the adviser.

When this replaces a data room, and when it does not

A shortlist teaser and CIM rarely need a data room. Know who read the book before the IOI date; pull it from whoever passed. Links go to pipeline contacts; opens roll up per investor, batches logged. No staged folders, Q&A log, NDA gate or e-signature. Send it once the NDA is signed.

    Click, confirm. The URL stops at once; an in-flight fetch ends within five minutes.

Questions buyers ask

Can I see who opened my CIM?

Yes. Each recipient has their own link, so every open is attributed to the name and firm it was issued to. The Documents tab shows the last open's time. A forwarded link still records against its original recipient.

Does CIM tracking show which pages were read or how long?

No. It records opens, not pages or reading time. If page-level analytics decide the purchase, this is not it. If the process needs a truthful open log per named counterparty and a stamp on every page, it is.

Do I need a virtual data room for a small M&A deal?

Not for the marketing phase. A teaser and CIM to a shortlist need a personal stamp, an open log and withdrawable access - tracked links, no room. Confirmatory diligence, with staged folder access, is a different job.

What if the CIM is not a PDF or is very large?

Over 4MB or not a PDF, it still goes out and every open is still recorded. It is not stamped. File size and format are the only way to know in advance whether the stamp will apply.

Can my colleagues see who opened the CIM?

Yes. Colleagues with access to the mandate see the same Documents tab, links, opens and Stamped or Not stamped markers. A link is attributed to the counterparty, not to the colleague who issued it.

How much does CIM tracking software cost?

Individual and Team plans include it; Enterprise is quoted. Individual: €149 a month (£129 UK, $169 elsewhere), one user, up to three active deals, 1,000 contacts. Team: €399 a month (£349, $449), seats on request.
